Medrova LLC ("Company") provides the GeriTrac platform ("Platform") as a Clinical Decision Support (CDS) tool to assist healthcare providers ("Subscriber") in identifying potential medication risks and tracking clinical time for CPT 99490 billing purposes. The Platform is provided "as is" and may be updated or modified at Company’s discretion.
Subscriber represents and warrants that all users accessing the Platform are authorized clinical staff affiliated with Subscriber’s practice and have agreed to these Terms. Subscriber shall implement and maintain strict user access controls, including timely revocation of access upon termination or role change. Company reserves the right to audit user access and suspend accounts for unauthorized use.
Subscriber must maintain secure login credentials, including mandatory multi-factor authentication (MFA). Passwords must meet complexity requirements and be changed periodically. Subscriber shall immediately notify Company of any unauthorized access or suspected breach and cooperate fully in incident investigations and remediation.
The Platform provides suggestions only and is not a substitute for professional clinical judgment. Subscriber and its users assume full responsibility for all clinical decisions, prescriptions, and patient outcomes. Company expressly disclaims any liability for clinical outcomes resulting from use of the Platform.
Subscriber is solely responsible for the accuracy and completeness of all manually entered clinical notes and time logs. Company provides a session timer as a convenience only; Subscriber must verify compliance with billing thresholds. Company reserves the right to audit data accuracy and usage.
Subscriber agrees to pay Company a commission of $10.00 USD for every successful reimbursement received under CPT 99490 or related codes where the Platform was used. "Successful reimbursement" means payment received from Medicare, Medicaid, or private insurers, net of adjustments or recoupments. Subscriber shall provide monthly reconciliation reports and allow Company to audit billing records. Late payments incur interest at 1.5% per month plus collection costs. Commissions are non-refundable. In the event of a dispute regarding commission calculations, the parties agree to meet and confer in good faith to resolve the issue within thirty (30) days before escalating to formal dispute resolution under Section 12.
Subscriber consents to Company’s use of de-identified data, defined per HIPAA Safe Harbor standards, for research and product improvement. Company will not sell or share identifiable PHI without explicit Subscriber consent. Subscriber may opt out of de-identified data use by written notice.
Company may suspend or terminate Subscriber access for breach, unauthorized use, or security concerns, with 10 days’ written notice and opportunity to cure, except in cases of imminent harm. Subscriber may terminate with 30 days’ written notice. Upon termination, Subscriber access is revoked; Subscriber may download data within 60 days. Company will retain data as required by law and may archive data for up to 1 year post-termination.
Company’s total liability shall not exceed commissions paid in the prior 12 months, excluding damages caused by gross negligence or willful misconduct. Company disclaims liability for indirect, incidental, punitive, or consequential damages, and for third-party services.
Both parties agree to indemnify and hold harmless the other from claims arising from their respective breaches, negligence, or misconduct. Indemnification claims require prompt written notice and cooperation.
The Platform is provided "as is" without warranties of any kind, including non-infringement, uptime, or accuracy.
These Terms are governed by Florida law. Parties agree to mediate disputes in good faith before litigation. Venue and jurisdiction are exclusively in Florida courts.
These Terms, Privacy Policy, and BAA constitute the entire agreement. Company may update these documents periodically; material changes will be communicated via email or Platform notification, and continued use constitutes acceptance of updated terms.
Subscriber accepts these Terms by explicit clickwrap acceptance prior to first use and continued use thereafter.
